1. Acceptance of Terms

By creating an account or using AffordableHOA ("the Service"), you agree to these Terms of Service ("Terms"). If you are using the Service on behalf of a homeowners association or organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

AffordableHOA is a software-as-a-service platform that helps homeowners associations manage residents, dues, violations, documents, and community communications. The Service is provided on a subscription basis.

3. Accounts and Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.

4. Subscription and Payment

Access to the Service requires a paid subscription after your free trial period. Subscription fees are billed monthly and are non-refundable except as required by law. We reserve the right to change pricing with at least 30 days' notice to current subscribers. Failure to pay may result in suspension or termination of your account.

4.1 Tiered Pricing and Automatic Plan Changes. Your subscription is priced according to the number of units in your community. When you add or remove units, the platform automatically adjusts your subscription to the appropriate pricing tier. If adding a unit moves your community into the next tier, your subscription is upgraded immediately and Stripe will issue a prorated invoice for the price difference covering the remainder of the current billing period. Future billing cycles will reflect the new tier price. Downward tier changes (from removing units) are applied at the end of the current billing period and reflected as a credit on the following invoice. By adding units to the platform, you authorize these automatic subscription adjustments and the associated charges.

4.2 Current Pricing Tiers. Subscription tiers are based on total unit count: 1-50 units ($49/month), 51-150 units ($99/month), 151-300 units ($179/month), 301-500 units ($239/month), and 501-1,000 units ($0.50 per unit per month, $250/month minimum). Communities exceeding 1,000 units must contact us for a custom arrangement. Current pricing is always displayed on your Billing page.

5. HOA Dues, Payments, and Disputes

5.1 Payment Facilitation Only. AffordableHOA is a software platform that provides tools for homeowners associations to manage and collect dues from their residents. AffordableHOA is not a bank, financial institution, money transmitter, escrow agent, or payment processor. AffordableHOA is not a party to any financial transaction between a resident and an HOA. All payment transactions are processed exclusively by Stripe, Inc., a third-party payment processor, and are subject to Stripe’s terms of service. AffordableHOA does not at any time hold, possess, control, or have access to any funds collected through the platform.

5.2 HOA Is the Merchant of Record. By using AffordableHOA to collect dues or other payments, the HOA (not AffordableHOA) acts as the merchant of record for all transactions. The HOA is solely and exclusively responsible for: (a) the accuracy of all assessments, dues, fees, and charges levied against residents; (b) compliance with all applicable federal, state, and local laws governing the assessment, collection, and management of HOA dues and fees; (c) the proper application and disbursement of collected funds; and (d) maintaining accurate records of all financial transactions.

5.3 Disputes, Chargebacks, and Refunds. The HOA is solely responsible for resolving all payment disputes, chargebacks, and refund requests initiated by residents or third parties. AffordableHOA has no obligation, authority, or ability to adjudicate, mediate, or resolve any dispute between an HOA and its residents regarding payments. All disputes must be handled directly between the HOA and the resident, and where applicable, through Stripe’s dispute resolution process. The HOA agrees to respond promptly to any chargeback or dispute notification from Stripe and to bear sole financial responsibility for any chargeback fees, fines, or losses resulting therefrom. AffordableHOA shall have no liability whatsoever for chargebacks, disputed transactions, failed payments, unauthorized charges, or any financial loss incurred by an HOA or its residents in connection with payment processing.

5.4 No Liability for Payment Processing. AffordableHOA expressly disclaims all liability for: (a) failed, declined, or reversed transactions; (b) errors or delays in payment processing by Stripe; (c) unauthorized or fraudulent transactions; (d) losses arising from incorrect dues amounts entered by the HOA; (e) disputes between residents and the HOA regarding the validity or amount of any assessment; and (f) any regulatory penalties or legal liability incurred by the HOA in connection with its dues collection practices. The HOA’s sole recourse for payment processing issues is directly with Stripe in accordance with Stripe’s terms and conditions.

5.5 Payment Processing Fees. All payment processing fees are determined by and payable to Stripe in accordance with Stripe’s then-current fee schedule. AffordableHOA does not receive any portion of transaction fees and has no control over Stripe’s fee structure. HOAs are responsible for understanding and disclosing any applicable processing fees to their residents.

5.6 Acknowledgment. BY USING THE PAYMENT FEATURES OF AFFORDABLEHOA, THE HOA EXPRESSLY ACKNOWLEDGES AND AGREES THAT: (A) AFFORDABLEHOA IS SOLELY A SOFTWARE INTERMEDIARY AND IS NOT A PARTY TO ANY PAYMENT TRANSACTION; (B) THE HOA BEARS FULL AND EXCLUSIVE RESPONSIBILITY FOR ALL PAYMENT DISPUTES AND THEIR RESOLUTION; AND (C) AFFORDABLEHOA SHALL HAVE NO LIABILITY FOR ANY FINANCIAL CLAIMS, LOSSES, OR DAMAGES ARISING FROM PAYMENT TRANSACTIONS PROCESSED THROUGH THE PLATFORM.

6. Acceptable Use

You agree not to use the Service to: (a) harass, threaten, or intimidate residents or board members; (b) collect or process payments in violation of applicable law; (c) store or transmit unlawful content; (d) attempt to gain unauthorized access to any systems or data; or (e) use the Service in any way that violates applicable local, state, national, or international law.

7. Data and Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you consent to that collection and use.

8. Intellectual Property

The Service, including all software, design, and content, is owned by AffordableHOA and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes only.

9. Data Retention and Deletion

Your community data is retained for the duration of your subscription. Upon account termination, data may be retained for up to 90 days before permanent deletion, except where longer retention is required by law. You may request earlier deletion by contacting us at our contact form.

10. Disclaimers

The Service is provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

The Service includes AI-powered features, including but not limited to the "Know It All" community assistant. These features are provided for general informational purposes only and do not constitute legal advice, governance advice, or professional guidance of any kind.

All governance decisions must be made by authorized human board members following your community's documented procedures. AffordableHOA expressly disclaims all liability for any action taken or not taken in reliance on AI-generated content.

11. Limitation of Liability

To the maximum extent permitted by law, AffordableHOA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid for the Service in the three months preceding the claim.

12. Termination

Either party may terminate the service relationship at any time. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Service ceases immediately.

13. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
